Business Formation

We advise clients on the type of legal entity they should utilize and the pros and cons of each alternative.  In consultation with the client, a Name is chosen for the Entity.  We then draft and file the required documents with the State of Florida or in another jurisdiction if that is better for the client.  Then we prepare the Shareholder Agreement for a Corporation, the Operating Agreement for an LLC, or the Partnership Agreement for that entity.  We counsel the client on Sales taxes and Trademark or Tradename applications.  The client is then advised as to the kind of contract forms they will need, and we prepare those agreements so that when we are finished, the client is ready to begin operations.  All along this path we perform the work with only the client mind so that at conclusion, the client will be thrilled with the result.
